Canada's Aurora Cannabis is making its foray into the U.S. cannabis market with the acquisition of Natick, Massachusetts-based cannabidiol (CBD) products company Reliva, LLC.

Announced late Wednesday, the all-stock transaction is valued at $40 million and includes a potential earn-out of $45 million (payable in Aurora shares, cash or a combination of both). It is expected to close in June.

In a press release, Aurora executive chairman and interim CEO Michael Singer said the company has spent time “carefully” examining its entry into the U.S.

"We firmly believe that the combination with Reliva will create significant long-term value as Reliva provides us options to grow in hemp-derived CBD internationally,” he said via the release.

Reliva makes and markets a variety of hemp-derived CBD offerings, including beverages, gummies, tinctures, balms and creams. Its products are sold online, and at more than 20,000 retail locations nationwide, per its website.

According to Reliva, its CBD cream is the top-selling topical brand in retail outlets tracked by market research firm IRI. The company’s products are sold in nearly half of the top-20 U.S. convenience stores, and it ranks no. 2 in overall market share according to IRI.

“With the assistance of Aurora, we believe enhancements to Reliva's innovation, consumer insights and marketing systems will allow our portfolio of hemp-derived CBD products to become even more attractive to retailers and consumers in this exciting new category,” Reliva CEO Miquel Martin said via the release.

Martin, a 25-year consumer packaged goods veteran, will remain with the combined company and serve as president of Aurora USA.

According to Cowen analyst Vivien Azer, Reliva generated about $10 million in revenue over the last 12 months, which implies an 8.5x multiple for the acquisition if earn-out targets are met.

“The move into U.S. CBD is a logical entry vehicle given the regulatory environment, with Reliva providing immediate accretion while preserving ACB's cash,” she wrote in a note to investors.

Meanwhile, Cantor Fitzgerald analyst Pablo Zuanic wrote in a note to investors that the deal indicates Aurora can “chew and walk at the same time.”

The purchase comes less than a week after Aurora announced an 18% revenue improvement during the fiscal third quarter of 2020, news that sent the company’s stock soaring to nearly $19 per share at one point earlier this week.

After a few rollercoaster days, Aurora’s U.S. shares (NYSE: ACB) rose nearly 35% on Thursday, closing the trading day at $17.16. Recall that Aurora executed a 1-for-12 reverse split last Monday, when the stock closed at $7.40.

For his part, Zuanic also increased his price target on Aurora shares to C$27 from C$22.

Earlier this year, Aurora cut 500 jobs and unveiled a sweeping financial revitalization plan that included $750 million in write-downs and asset impairment charges, and a $100 million reduction in capex spending.

The Reliva acquisition is the second major CBD acquisition announcement in the last two months. In March, Charlotte's Web said it had agreed to purchase Abacus Health Products, maker of the CBDMedic brand promoted by NFL star Rob Gronkowski, for $69 million.

A recent report from New Frontier Data, a global marijuana research firm based in Washington D.C., found that 18% of Americans have tried CBD and 86% of Americans know of the compound. According to BDSA, U.S. sales of CBD are expected to reach $20 billion by 2024.

The transaction is expected to close, subject to customary closing conditions, in June 2020. It is anticipated that the transaction will be immediately accretive to Aurora on an Adjusted EBITDA basis, consistent with Aurora's objective to drive towards Adjusted EBITDA profitability in its fiscal first quarter of 2021.

The transaction will combine Aurora's leading Canadian recreational brands, and Canadian and European medical market position with the leading U.S. hemp-derived CBD brand in retail stores. Consistent with the announcement of Aurora's business transformation plan in February 2020, the Company has aligned its U.S. investment strategy with the goals of the transformation plan, namely: financial discipline, operational focus, and strong execution. The transaction represents the culmination of a multi-month strategic evaluation of the U.S. hemp-derived CBD industry.
